GENERAL TERMS AND CONDITIONS OF SALE

  1. Introduction

These general terms and conditions govern the sale to professional customers of the products listed in our current price list, as well as related spare parts and services. These conditions are deemed known to the buyer. Accordingly, any order implies full and unconditional acceptance by the buyer of these general terms and conditions of sale.

  1. Customer Account

Any professional requesting an account opening must send us an extract from the Trade Register as well as a bank account details form (RIB). BSRF S.A.S reserves the right to open or refuse an account opening after reviewing the customer's situation. Prices are quoted exclusive of taxes and are based on the price list in effect on the date of the order.

  1. Order

Every order must be dated, signed, and bear a commercial stamp. For any order equal to or exceeding €1,500 excl. VAT, a 30% deposit is required at the time of ordering.

  1. Payment Terms and Conditions

For any first order, we require payment in full by check or bank transfer. Thereafter, the payment terms for buyers who have opened an account with BSRF S.A.S are as follows: payment by check or bank transfer upon receipt of invoice within 8 days with a 2% discount; payment at 30 days net invoice date by check, bank transfer, or magnetic LCR. Any late payment will result in an additional penalty equal to 20% of the outstanding amounts as fixed liquidated damages, without prejudice to the statutory interest mentioned elsewhere, as well as procedural costs, expenses, third-party intervention fees, and court representation costs. Any deterioration in the buyer's creditworthiness may justify the requirement of guarantees, immediate payment, a sight draft, or the setting of a credit limit for said buyer prior to the fulfillment of received orders. This will notably be the case if a change in the debtor's capacity, professional activity, or a cessation of lease, pledging, or contribution of their business has an adverse effect on the buyer's credit standing.

  1. Delivery and Shipping Conditions

Our prices are quoted ex-works from our premises, with transport and insurance costs charged separately. Goods travel at the risk and expense of the recipient, who shall ensure that the contents of packages are verified in the presence of the delivery person and that any damage or missing items are recorded. In the event of damage, the exact nature of the damage must be noted on the delivery receipt, then confirmed to the carrier by registered letter with acknowledgment of receipt within 3 days of delivery, as well as formal notification to BSRF S.A.S within the same timeframe.

  1. Retention of Title

Goods remain the property of BSRF S.A.S until full payment of their price, including principal, accessories, and interest, which alone effects the transfer of ownership. Upon delivery of the goods, the buyer assumes sole responsibility for any loss, theft, destruction, or damage, which must be covered by insurance. In the event of non-payment (partial or total) and fifteen days after a formal notice sent by registered letter, the sale may be automatically rescinded and the goods returned to BSRF S.A.S. Should restitution of unpaid goods be opposed, a simple interim court order shall constitute rescission of the sale and authorization to reclaim the goods. Any payments already made shall be retained as liquidated damages.

  1. Pricing

Our prices are quoted exclusive of taxes, and BSRF S.A.S reserves the right to modify its price list at any time. All prices are subject to VAT at the rate in force on the invoice date.

  1. Warranty

Our equipment is warranted against any manufacturing defect for two years (from the date of delivery) covering electronics, mechanical parts, and labor. No warranty is owed by BSRF S.A.S when the defect or damage results from an event constituting force majeure. Likewise, no warranty is owed when the defect or damage results from improper handling or installation by the customer. For any equipment returned for after-sales service, prior authorization must be obtained from our technical and/or sales department by email with a full description of the fault. Equipment must be sent to us with shipping prepaid and will be returned at the recipient's expense. Goods travel at the customer's risk and expense. Warranty terms are void in the event of misuse or repair carried out by a reseller or repairer other than BSRF S.A.S.

  1. Jurisdiction

In the event of any dispute of any nature whatsoever, the Commercial Court of Bobigny, registered office of BSRF S.A.S, shall have sole jurisdiction, even in cases involving multiple defendants or warranty claims, and notwithstanding any conflicting jurisdiction clause. Bills of exchange or acceptance of payment shall not constitute any change or derogation attributing jurisdiction elsewhere.
